Code of Conduct
Introduction
- The purpose of this Code of Conduct is to acquaint the employees with the general code of conduct expected from them at all times, while on business trips or interacting with customers, and to assist the Direct Supervisor/Department Manager to provide fair and consistent treatment of all employees in matters concerning employee conduct.
- The Company aims at promoting the wellbeing of the employees in the work place and maintaining high standards of professional conduct and work performance.
- Strict disciplinary actions will be initiated in case of any violation of such code of conduct and may lead to termination of employment.
- Employees are expected to perform job duties and responsibilities and conduct in an acceptable manner at all times during their employment with the Company, which reflects the highest ethical and professional standards of conduct and performance.
Personal Responsibility
- All employees are expected to conduct business in accordance with the work agreement, spirit, and intent of all relevant laws and to refrain from any illegal, dishonest, or unethical conduct.In particular, employees shall:
- Perform duties with care, diligence, professionalism, loyalty and integrity.
- Strive for the highest ethical standards, and not just the minimum required to meet legal or procedural requirements.
- Deliver outstanding quality service to customers (internal as well as external).
- Observe appropriate legislation, regulations, and Company policies that relate to the performance of official duties.
- Abide by their set work schedule in order to ensure proper working hours. Employees are expected to efficiently manage their time at work in order to enhance productivity.
- Treat colleagues with courtesy and be sensitive to their rights, duties and aspirations.
- Adopt a friendly, professional and helpful attitude in dealing with the public.
- Avoid waste, or extravagant use of public resources.
- Not take, or seek to take, improper advantage of any official information acquired in the course of official duties.
- Behave in a manner that maintains or enhances the reputation and professional standing of the Company.
- It is the responsibility of all the employees to ensure that the reports prepared and submitted by the Company and other public communications shall be full, fair, accurate, timely and understandable disclosures. The Company has a responsibility to communicate effectively with relevant statutory and regulating authorities by providing with full and accurate information about the financial condition and results of operations of the Company.
- Acceptance of valuable gifts and Declaration
- During contact with the public (customers and suppliers), it is vital that the employee be, and seen to be, free of any form of bribery or corruption, or accept gifts even of nominal value.
- Employees must declare, in writing, receipt of all such gifts.
- If the employee or any of their family members has any interest in the Company bidding for contracts, this must also be declared.
- Conflict of interest may arise from official dealings with, or decisions made in respect of, individuals who share private interests. In particular, the employee shall:
- Not be involved in any activity that will directly or indirectly conflict with the Company’s interest.
- Not place himself in a position, where allegations of unfairness may be made;
- Not use any information obtained in the course of his duties to advance private interests or those of others;
- Note engage in other private business unless approved, in writing, by the Chairman; and
- Immediately report any conflict of interest arises between the personal and professional relationship or activities of an employee that to the Direct Supervisor and shall either withdraw himself from taking any further action in relation to the said transaction or handle such conflict of interest in an ethical manner in accordance with this Code.
- Non-disclosure of Confidential Information
- For purpose of this policy, the term “Confidential Information” shall mean and include any and all tangible information including all written or oral disclosures made by the Company, or parent, subsidiary, group Company or customer of the Company or otherwise received by the employee in the course of his employment with the Company, and shall specifically include, without limitation, pricing, methods, processes, financial data, technical data, lists, products, trade secrets, know-how, photographs, plans, notes, computer programs, computer readable video, audio and samples relating thereto as well as any confidential or proprietary information owned by any other person or entity and furnished by such person or entity pursuant to an undertaking to maintain the same in confidence.
- Employees are expected to follow the policies governing confidentiality and to adhere to the policy as a responsibility. Employees who are found to disclose any such information will be subject to disciplinary actions, which may include dismissal from the Company services.
- Any intentional and unauthorized access of confidential information will also lead to serious disciplinary actions.
- Employees obligation to protect the Company’s proprietary and confidential information continues even after they leave the Company, and they must return all proprietary information in their possession at the time of leaving the Company.
- 2. Use of Official Property or Services
- Unless specifically authorized, the use of the Company resources or services paid for with official money for personal purposes or gain is prohibited. Such resources include:
- Facilities (including telephones, photocopier, office equipment/ supplies);
- Vehicles, machinery and equipment;
- Computers and computer software;
- Official stationery; and
- Postal services;
- All data, case files, and official documents made by the employee during his employment will remain the property of the Company. The employee does not have the right to remove these without the permission of his Direct Supervisor/Department Manager.
- On termination of employment contract, the employee should return all Company property he has been using during his service with the Company, including any confidential documents, Company Manuals, laptop and mobile phones, subject to which the Company will release the employee’s final settlements.
- Any suspected loss; misuse or theft should be reported to the Direct Supervisor/Department Manager or the Chief Executive Officer.
- 3. Compliance with this Code and reporting of any illegal or unethical behavior.
- The Code will be strictly enforced and violations will be dealt immediately, including subjecting persons to corrective and/or disciplinary action such as dismissal or removal from the services. Violations of this Code that involve illegal behavior will be reported to the appropriate authorities.
